Terms of Service
The rules that govern remote verification services, certificates and the public registry.
Read first
Silicon Passport is a remote software verification service. It never holds your GPU, your money for a GPU purchase, or title to any hardware. Certificates are point-in-time software snapshots, not guarantees. Sections in capitals limit legal rights — including warranties, damages, and the right to sue in court or join a class action.
These terms are a working draft for the platform and are not legal advice. Have counsel review them before relying on them in a live transaction.
1. Nature of Service & Absolute Non-Bailment
Silicon Passport provides remote Verification-as-a-Service. The platform provides software-generated telemetry reports and a public certificate registry. It is not a marketplace of goods, a consignee, a warehouse, an escrow agent, or a dealer in graphics processing units.
At no time does Silicon Passport take physical custody, possession, title, bailment, or inventory of any GPU or other hardware. All hardware remains at all times in the possession and control of the seller or buyer. No transaction on or through this platform constitutes a sale of goods by Silicon Passport within the meaning of UCC Article 2, and Silicon Passport is not a "seller" or "buyer" of any verified unit.
Verification fees purchase a software service only. Payment of a verification fee does not transfer, encumber, or create any interest in any hardware.
2. Complete Warranty Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CERTIFICATES, REPORTS, SCORES, AND REGISTRY RECORDS ARE PROVIDED "AS IS" AND "AS AVAILABLE." PLATINUM SILICON EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY (UCC § 2-314), FITNESS FOR A PARTICULAR PURPOSE (UCC § 2-315), TITLE, AND NON-INFRINGEMENT, PURSUANT TO UCC § 2-316.
Each certificate is a point-in-time snapshot of host driver-reported telemetry captured at the execution timestamp shown on the report. It records what the host's driver and tools reported at that moment — nothing more.
A certificate does not warrant, and Silicon Passport does not represent: future hardware longevity or reliability; the absence of physical silicon fatigue, electromigration, or degradation; solder, BGA, or board-level integrity; that telemetry was free of OS- or driver-level spoofing on a compromised host; or that a unit will pass any future test. Consumer GPUs lack hardware SPDM attestation; treat every report as a baseline to re-verify on receipt, not a guarantee.
3. Verification Service Acceptance
Payment purchases remote verification services only. Review the report and its evidence limitations. No GPU-sale acceptance, automatic payout or ownership transfer occurs on this platform.
4. External Transactions
Silicon Passport does not administer hardware returns or buyer/seller disputes. External purchases remain subject to the chosen platform, payment provider and applicable law.
5. Objective Registry Status Safe Harbor
Public hardware records in the registry carry only objective, evidence-derived status markers: TELEMETRY_PASS, TELEMETRY_UNVERIFIED, INCONCLUSIVE_DIFF, and UNDER_INVESTIGATION.
These markers describe the state of software evidence at a point in time. They are not accusations, findings of fact about any person, or statements about the legal status of any item. Silicon Passport does not publish, and users may not request, subjective or accusatory labels such as "STOLEN," "FRAUDULENT," "BLACKLISTED," or similar characterizations of a unit, seller, or buyer.
An UNDER_INVESTIGATION marker means a review of submitted evidence is pending; it implies no wrongdoing. Status markers may change as new signed evidence is ingested.
6. Limitation of Liability & Mandatory Individual Arbitration
LIABILITY CAP: TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLATINUM SILICON'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO ANY TRANSACTION OR USE OF THE SERVICE IS LIMITED TO THE PLATFORM FEE ACTUALLY EARNED BY PLATINUM SILICON ON THAT TRANSACTION, OR FIVE HUNDRED U.S. DOLLARS (US$500), WHICHEVER IS GREATER.
NO CONSEQUENTIAL DAMAGES: IN NO EVENT IS PLATINUM SILICON LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, HOWEVER ARISING.
RECIPROCAL INDEMNITY: Each party indemnifies the other against third-party claims arising from its own breach of these terms, its own fraud or misrepresentation, or its violation of applicable law.
ARBITRATION: Any dispute arising out of or relating to these terms or the service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) or JAMS in Los Angeles, California, under the administrator's applicable commercial rules. CLASS-ACTION WAIVER: disputes may be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate claims. Judgment on the award may be entered in any court of competent jurisdiction.
